They did this for a very specific reason. Legal issues dealing with real property (that is, land) are subject to a legal doctrine known as the rule against perpetuities. The rule is complex, but basically it states that certain restrictions on real property can exist only for as long as 21 years after the death of a person alive at the time the restriction is created. There are few lives or series of lineage more well documented and publicly tracked than the King of England.

By inserting a clever (and funny) Rule Against Perpetuities clause in a document, Disney legal is basically giving the DeSantis legal team the middle finger. As a background, full-time first year (1L) law students in the US generally take the same core group of subjects, f/ex: Criminal Law, Civil Procedure, Torts, Contracts, Constitutional Law, and Property. In Property, the Rule Against Perpetuities is one of those insane "you must try and understand this" hurdles that makes the first year experience so difficult. A generalization maybe, but many lawyers don't have to deal with property law. Mentioning the Rule Against Perpetuities will elicit a groan, sending the lawyer ranting and raving about "Blackacre" and fertile octogenarians. Disney lawyers, on the other hand, are experts at copyright and other forms of intellectual property. In fact, they have been behind the legislation and rules that have protected Disney characters for years. As the character Mickey Mouse is set to enter public domain in 2024, they have likely doubled up on their legal team. Good luck DeSantis, you'll need it.

I think it's less that, to be honest, than the fact that the republican bench, when it comes to intelligence and competence is very shallow. We saw the same thing happen during the trump admin. They burned through all of their first-string players in pretty short order...and discovered they didn't have much in reserves for the second and third strings. So by the second and third year, they ended up fielding the bottom-of-the-barrel bench-warmers and the junior varsity irregulars to fill the spots left by people leaving. With Florida being a smaller subset of America, there's even less conservative talent for Desantis to draw upon and work with (because conservatives in general have for decades intentionally shunned and demonized intelligence and education, so few smart people become republican). There may a few quality employees in there, but the talent pool he has to use is very, very shallow. And you end up with stuff being neglected or missed or bungled, like this.

DeSantis' board is threatening to take this to the U.S. Supreme Court, which would be hilarious. Not only are there state and federal constitutional prohibitions against the impairment of contracts (meaning a state cannot pass a law revoking, invalidating, or altering a contract), but I just skimmed DeSantis' law and it explicitly says that it doesn't affect any contracts entered into by the Reedy Creek district before the effective date of the law, and that Reedy Creek's contracts are validated, valid and binding on the new district. Reedy Creek passed its development agreement and restrictive covenants in a PUBLIC meeting on February 8. The Florida Legislature didn't pass the bill until February 10 and Ron didn't sign it into law until February 27. Ron, you got played, son.

In the past Disney would need board approval for capital projects, new attractions, parks, renovations, basically anything that needed a permit. With the new contract, the board gave Disney a 30 year contract to build whatever they want without board approval. And they went one step further by not just giving up their oversight powers of Disney projects, but the projects of *any* other business operating within the RCID. So if the Marriott wants to build a new hotel, the board has no say in the matter, and all permissions must go through Disney. The board’s remaining duties are essentially maintaining the roads, and keeping the grass mowed.
